1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the SuccessPay payment gateway platform, Point of Sale (POS) solutions, and related services ("Services") provided by Success Group, a company registered and operating in the United Arab Emirates. By registering for or using our Services, you agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

2. Definitions

"SuccessPay"

refers to the payment gateway platform operated by Success Group.

"Merchant" or "You"

refers to any business entity or individual that registers to use our Services.

"Customer"

refers to end-users who make payments through the SuccessPay platform.

"Transaction"

means any payment processed through the SuccessPay platform.

"Applicable Law"

means all laws, regulations, and guidelines of the UAE, including those issued by the Central Bank of the UAE (CBUAE).

3. Eligibility and Registration

To use our Services, you must:

• Be a legally registered business or licensed professional in the UAE.
• Hold all required commercial licences and regulatory approvals.
• Provide accurate and complete information during registration.
• Be at least 21 years of age if registering as an individual.

We reserve the right to verify your identity and business details in accordance with UAE Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations.

5. Merchant Obligations

As a Merchant, you agree to:

• Comply with all applicable UAE laws, including consumer protection regulations and CBUAE guidelines.
• Not process transactions for prohibited goods or services as defined by UAE law.
• Maintain accurate records of all transactions for a minimum of five (5) years.
• Immediately notify SuccessPay of any unauthorised transactions or security breaches.
• Comply with PCI-DSS (Payment Card Industry Data Security Standard) requirements relevant to your integration.
• Not engage in fraudulent activity, money laundering, or financing of terrorism.

6. Fees and Payments

SuccessPay charges fees based on transaction volume and business type. Fee structures are agreed upon at the time of onboarding and detailed in your Merchant Agreement. By accepting these Terms you acknowledge:

• Fees are exclusive of VAT, which will be charged at the applicable UAE VAT rate (currently 5%).
• Fees are subject to change with thirty (30) days written notice.
• Transaction fees are deducted before settlement unless otherwise agreed.
• SuccessPay reserves the right to withhold settlement in cases of suspected fraud or chargebacks.

7. Settlement and Chargebacks

Settlement periods are as agreed in your Merchant Agreement. You are solely responsible for resolving customer disputes. In the event of a chargeback:

• The chargeback amount plus any applicable fees will be deducted from your settlement.
• You must provide transaction evidence within the timeframe specified by the card scheme.
• SuccessPay reserves the right to maintain a rolling reserve to cover chargeback exposure.

8. Prohibited Activities

You must not use our Services to process payments for:

• Gambling or unlicensed lottery activities.
• Illegal weapons, controlled substances, or narcotics.
• Adult content or services prohibited under UAE law.
• Terrorism financing or money laundering.
• Any goods or services prohibited under UAE Federal Law or Abu Dhabi emirate law.

9. Intellectual Property

All intellectual property rights in the SuccessPay platform, including software, trademarks, and documentation, are owned by Success Group. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.

10. Limitation of Liability

To the maximum extent permitted by UAE law, Success Group shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue or profits. Our total liability shall not exceed the fees paid by you to SuccessPay in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Success Group, its directors, officers, and employees from any claims, losses, or expenses arising from your use of the Services, your breach of these Terms, or your violation of any applicable law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Abu Dhabi. Any disputes shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, unless the parties agree to resolve disputes through arbitration under the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC) rules.

13. Amendments and Termination

SuccessPay reserves the right to amend these Terms at any time. Material changes will be notified via email or dashboard notice with thirty (30) days prior notice. Continued use of the Services after the effective date constitutes acceptance of the amended Terms. Either party may terminate the Merchant Agreement with thirty (30) days written notice. We may suspend or terminate your account immediately for breach of these Terms.
